Camille, who CARDWARE consults inputs for the business with, presented Sonya, the
owner and Lead Seamstress for Shazam Clothing Industries with her order to sew the limited
number (500) of pink and black sweaters with a matching knit hat. There are certain details that
Camille presented to Sonya about where and how the labels should be and look like on the
material. Sonya then agreed to making the sweater and hat for the price of one-hundred dollars.
, Sonya’s phone rang when the two were discussing which yarn to use. She then asked for Camille
to write down what certain yarn and dots she wanted on the product and Sonya will start it as
soon as possible for her. However, Camille forgot to give Sonya the down payment for the order
that she presented to her of twenty-five percent down. Down the road, Sonya completed the
order for Camille and then sent her an invoice of payment for the order. Camille then changed
her mind about wanting the sweaters and hats because she realized that matching product will
not be profitable. Sonya now is looking for a breach of contract due to the fact she made all these
sweaters and was not gifted with a payment.
Contracts are formed mostly every day in the business industry. Businesses relies on
contracts in order to be successful and hit their goals in the short and long run. The business or
even individuals that form a contract, must be enforced, which is the only way for the contract to
be effective or legal. A legal contract forces at least two parties to accomplish acts based on the

certain intent or what is called the objective theory of contracts. “Objective facts include (1) what
the party said when entering into the contract, (2) how the party acted or appeared, and (3) the
circumstances surrounding the transaction. Intent to form a contract may be manifested by
conduct, as well as by words, oral or written.” (Miller, 2012, p.133) In other words, “A contract
includes the elements of offer, acceptance and consideration.” (Lawaspect.com, 2020)In this
case, Camille presented Sonya what she wanted for the product and then Sonya accepted to
making the product for her for the certain price of one-hundred dollars. Since Camille was
present when Sonya gave the price of what she was going to make them for, she gave the
information of what colors of yarn to use, which is a transfer of information of the product
